Terms of Service (Public Offer)

1. Terms and definitions

• Platform — the Auto Intelligence software-and-hardware system — an intelligent system for analyzing the automotive market and providing related informational and technological services.
• User — a legally capable individual who has accepted this Agreement and is interested in receiving information and services provided by the Platform.
• Account — a protected section of the Platform created by the User to access extended functionality.
• Content — any information posted on the Platform, including (without limitation) vehicle data, analytics reports, texts, images, source code, and outputs of AI algorithms.
• Services — providing access to the Platform’s functionality, including search, analytics, AI recommendations, as well as organizational and consulting support for transactions to acquire vehicles.

2. Subject of the Agreement

2.1. The Administration grants the User a non-exclusive, revocable, limited license to use the Platform and its Services strictly in accordance with this Agreement.

2.2. The Platform is a tool for analyzing market information. The Administration is not a vehicle seller, carrier, customs broker, or insurance company. The Administration’s role is to provide technological and consulting services to facilitate the User’s search and purchase of a vehicle from third parties (sellers in South Korea).

3. Registration and account management

3.1. To access all Platform features, the User must complete registration and create an Account.

3.2. The User is fully responsible for providing accurate and up-to-date information and for maintaining the confidentiality of their credentials (login and password). All actions performed under the User’s Account are deemed performed by the User.

3.3. Creating more than one Account by the same person is prohibited. The Administration reserves the right to refuse registration or block an existing Account without explanation.

4. Rules for using the Platform

4.1. The User is strictly prohibited from:

• Using any automated tools (scripts, bots, parsers, scrapers) to collect, copy, or monitor Platform Content.
• Attempting to gain unauthorized access to restricted Platform sections, servers, databases, or source code.
• Decompiling, reverse engineering, or otherwise attempting to extract the Platform’s source code.
• Using information obtained from the Platform to create a competing product or service.
• Posting spam, malware, knowingly false information, or materials that violate the laws of the Russian Federation.

4.2. The Administration has the right to:

• Modify, suspend, or terminate the Platform at any time.
• Immediately and without prior notice, block or delete the User’s Account for any violation of this Agreement.

5. Financial terms and purchase process

5.1. The cost of the Administration’s Services is listed on the Platform or communicated by a manager and does not include the cost of the vehicle, delivery, customs clearance, or other expenses.

5.2. Reserving a vehicle with a seller in South Korea requires the User to make a security deposit to the seller (per marketplace/seller rules). This deposit is not payment for the Administration’s Services and is not included in the Services cost. If the User withdraws from the deal for reasons unrelated to fault of the Administration or the seller, the deposit is typically not refundable, as it is used to compensate the seller’s costs and lost profits.

5.3. All payments related to purchasing a vehicle and its delivery are made by the User to the relevant third parties (sellers, logistics companies) with organizational support from the Administration.

5.4. The User acknowledges and accepts risks associated with currency exchange rate fluctuations. The final vehicle cost and related expenses in rubles may change.

6. Intellectual property

All exclusive rights to the Platform, its Content, design, databases, and underlying AI algorithms belong to the Administration. Using the Platform does not grant the User any rights to these intellectual property objects other than the limited right of use under this Agreement.

7. Disclaimer of warranties and limitation of liability

7.1. The Platform and all Services are provided “AS IS”. The Administration does not guarantee uninterrupted or error-free operation of the Platform, or that information on it is absolutely accurate and complete. Vehicle data is provided by Korean sellers and may contain inaccuracies.

7.3. The Administration’s aggregate liability under this Agreement is in any event limited to the amount paid by the User for the Administration’s Services.

8. Dispute resolution

8.1. All disputes and disagreements are resolved through negotiations. A pre-trial claim procedure is mandatory. The response period is 30 (thirty) calendar days.

8.2. If a dispute cannot be resolved pre-trial, it is subject to consideration in court at the location of the Administration under the laws of the Russian Federation.

9. Final provisions

9.1. The Administration may unilaterally change the terms of this Agreement. The new version takes effect upon publication on the Platform.

9.2. Personal data processing is governed by a separate document — Privacy Policy, which is an integral part of this Agreement.
